Zentrep Ventures Private Limited ("Startt," "we," "our," or "us") is committed to protecting your privacy. This Privacy Policy describes how we collect, use, and disclose your personal information when you access our website, mobile application, and other online services (collectively, "Services"). By using our Services, you consent to the practices outlined in this Privacy Policy.

These Terms and Conditions ("Terms") form a legally binding agreement between you ("User" or "you") and Zentrep Ventures Private Limited ("Startt," "we," "our," or "us"). These Terms govern your access to and use of Startt's website, mobile application, online services, and associated features (collectively, the "Services").

By accessing or using our Services, you agree to comply with and be bound by these Terms. If you do not agree, you must not use our Services.

1. GENERAL TERMS

1.1 Scope of Services

• Startt is a founder-investor matchmaking platform designed to connect entrepreneurs and investors.
• Startt does not provide financial, legal, or investment advice and is not a broker, financial advisor, or intermediary.
• Any decisions made based on Startt's Services are entirely at the User's discretion.

1.2 Acceptance of Terms

• These Terms apply to all Users, including startup founders, investors, advisors, and any other visitors or contributors to the platform.
• Your use of Startt's Services constitutes your agreement to these Terms.

2. ELIGIBILITY & ACCOUNT REGISTRATION

2.1 Account Creation

• To access certain features, you must create a User Account.
• You must provide accurate, complete, and up-to-date information during registration.

2.2 Eligibility

• You must be at least 18 years old and legally capable of entering into contracts under Indian law (Indian Contract Act, 1872).
• If registering on behalf of a company, you confirm that you have the authority to bind the entity to these Terms.

2.3 Account Security

• You are solely responsible for maintaining the confidentiality of your login credentials.
• You must not share your login details or allow unauthorized access to your account.

2.4 Suspension & Termination

Startt reserves the right to suspend or terminate accounts if Users violate these Terms.

3. PLATFORM SERVICES

3.1 No Guarantee of Investment

• Startt facilitates connections but does not guarantee funding or successful matches.
• Users must conduct their own due diligence before entering into any investment, partnership, or transaction.

3.2 Third-Party Content

• Users may access third-party links, content, or resources.
• Startt is not responsible for third-party websites, their content, or any consequences arising from their use.

3.3 Founder-Investor Interactions

• Any investment or transaction initiated through the platform is strictly between the parties involved.
• Startt is not liable for misrepresentations, disputes, or financial losses.

4. ACCEPTABLE USE POLICY

Users must not:

• Post, share, or distribute false, misleading, or defamatory information.
• Engage in spam, fraud, or phishing activities.
• Use the Services for unlawful or unethical purposes.
• Scrape, mine, or extract data without permission.
• Interfere with or disrupt Startt's operations or security.
• Violate any applicable laws, regulations, or industry standards.

5. USER-GENERATED CONTENT

5.1 Ownership & License

Users retain ownership of their submitted content but grant Startt a worldwide, royalty-free, sublicensable license to use, modify, and distribute it for platform operations.

5.2 Content Restrictions

Users must not upload any content that:

• Violates intellectual property rights.
• Contains false, misleading, or illegal information.
• Is defamatory, abusive, or harassing.

5.3 Content Removal

Startt reserves the right to remove any content violating these Terms without notice.

6. SUBSCRIPTION & PAYMENTS

6.1 Paid Services

• Some features require a subscription or one-time payment.
• Details of paid services will be displayed on the platform.

6.2 No Refund Policy

Payments made for Startt's services are non-refundable.

6.3 Payment Security

We use third-party payment processors and are not liable for unauthorized transactions.

6.4 Pricing Changes

Startt reserves the right to change pricing with prior notice.

7. CONFIDENTIALITY & DATA PRIVACY

7.1 Confidential Information

• Users should not share confidential information on Startt unless necessary.
• Startt is not liable for any unauthorized use or disclosure of confidential information.

7.2 Data Collection & Use

Startt collects and processes personal data as per our Privacy Policy (refer to the separate Privacy Policy document).

7.3 Third-Party Data Sharing

Startt does not sell User data but may share it with trusted third-party service providers for operational purposes.

7.4 Security Measures

We implement reasonable security practices but do not guarantee absolute data protection.

8. INTELLECTUAL PROPERTY

8.1 Ownership & Usage Rights

• Startt owns all trademarks, software, logos, and platform content.
• Users may not copy, modify, or distribute Startt's intellectual property without written permission.

8.2 Reporting Violations

9. LIMITATION OF LIABILITY

9.1 No Warranties

Startt provides its services "as is" and "as available" without any warranties.

9.2 Liability Cap

To the maximum extent permitted by law, Startt's total liability shall not exceed INR 10,000 or the amount paid by the User in the last six months, whichever is lower.

9.3 Exclusion of Indirect Damages

Startt is not liable for indirect, incidental, or consequential damages.

10. DISPUTE RESOLUTION & GOVERNING LAW

10.1 Governing Law

These Terms are governed by Indian law, and disputes will be subject to the exclusive jurisdiction of the courts in Bengaluru, India.

10.2 Arbitration Clause

• Disputes shall be resolved through arbitration under the Arbitration and Conciliation Act, 1996.
• The arbitration seat shall be Bengaluru, and the language shall be English.

11. TERMINATION & MODIFICATIONS

11.1 Termination by User

Users may delete their accounts by contacting contact@startt.in

11.2 Termination by Startt

Startt reserves the right to suspend or terminate accounts without notice for policy violations.

11.3 Modification of Terms

Startt may update these Terms from time to time. Continued use of the platform constitutes acceptance of the revised Terms.

12. MISCELLANEOUS

12.1 Force Majeure

Startt is not liable for delays or failures due to events beyond its control (e.g., natural disasters, cyberattacks, regulatory changes).

12.2 Severability

If any provision of these Terms is deemed invalid, the remaining provisions shall remain in full force.

12.3 No Waiver

Failure to enforce any provision does not constitute a waiver of rights.
